ABC Technologies Holdings<\/span>, a leading manufacturer and supplier of custom, highly engineered<\/span> technical plastics and lightweighting innovations to the global automotive industry, <\/span>announce<\/span>d that it has entered into a definitive agreement to acquire Karl Etzel GmbH (\u201cEtzel\u201d)<\/span> from the Sch\u00fcrrle family for approximately US$95 million (the \u201cEtzel Acquisition\u201d).<\/span><\/span> Based in Muhlacker, Germany, Etzel was founded in 1976 and is a leading tier<\/span>–<\/span>1 and t<\/span>ier<\/span>–<\/span>2 supplier<\/span> to the German luxury OEM market.<\/span> Etzel\u2019s expertise in injection molding plastics for OEM interiors<\/span> and exteriors<\/span> will<\/span> grow ABC\u2019s product suite in the European market as well as provide<\/span> greater<\/span> diversification to<\/span> German<\/span>–<\/span>based global OEMs<\/span>.<\/span> For<\/span> the LTM period ended November 2021, Etzel<\/span> generated approximately US$100 million in revenue<\/span>.<\/span><\/span>
\u201cThe acquisition of Etzel will provide ABC the opportunity to meaningfully expand our scale in<\/span> Europe while entering the interior products space on the continen<\/span>t with a strong customer base<\/span> of luxury OEMs.<\/span> These OEMs have looked to Etzel to provide global solutions, which will be enabled<\/span> with ABCs existing footprint,\u201d said Todd Sheppelman, President and CEO of ABC Technologies.<\/span>
\u201cEtzel\u2019s management team has built<\/span> a solid European foundation from which to grow with<\/span> its<\/span> existing customers, especially in North America<\/span>, as well as giving ABC a base upon which to cross<\/span>–<\/span>sell its existing product suite<\/span>.\u201d<\/span><\/span> <\/span><\/p>\n

“Etzel and its employees are excited to join ABC Technologies, whic<\/span>h will allow us to reach a new<\/span> level of growth through a more global organization,\u201d said Etzel<\/span>\u2019s<\/span> President and CEO, Andreas<\/span> Sch\u00fcrrle.<\/span> \u201c<\/span>ABC\u2019s<\/span> leadership position in the injection molding and lightweighting<\/span> market<\/span> will enable<\/span> Etzel<\/span> to<\/span> expand<\/span> in<\/span> North<\/span> Americ<\/span>a<\/span>,<\/span> where our<\/span> German OEM<\/span> customers<\/span> have<\/span> significant<\/span> manufacturing presence, but where we have thus far not been able to serve them.<\/span> We see this as<\/span> a great match for Etzel, ABC and our customers.\u201d<\/span><\/span>
The Etzel Acquisition is subject to approval by the German<\/span> Federal Antitrust Office and the Austrian<\/span> Federal Competition Authority.<\/span> The Etzel Acquisition is expected to close in ABC Technologies\u2019<\/span> Fiscal Third Quarter 2022 (1<\/span>st<\/span> Quarter CY 2022).<\/span><\/span>
